These Terms of Service ("Terms") govern your access to and use of Uuple's services, including our website, software, and related services (collectively, the "Services"). These Terms are intended for business customers (B2B) and not for consumers.

Account registration and security
To use certain features of our Services, you may need to create an account. You represent and warrant that you have the authority to bind your organization to these Terms.
Business eligibility
Our Services are available only to businesses, organizations, and professionals acting in the course of their trade or profession. Consumers are not eligible to use our Services.
Account security
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.
Accuracy of information
You agree to provide accurate, current, and complete information when creating your account and to update such information as necessary.
AI-generated output disclaimer
Uuple functions as a gateway to third-party AI models and services. We do not control, endorse, or guarantee the accuracy, completeness, or legality of AI-generated output.
No warranty for AI output
AI-generated content may contain errors, inaccuracies, or "hallucinations." Uuple makes no representations or warranties regarding the accuracy, reliability, completeness, or legality of any AI-generated output. You are solely responsible for reviewing and validating any AI output before use.
Use at your own risk
Your use of AI-generated output is at your own risk. Uuple shall not be liable for any damages, losses, or claims arising from your reliance on or use of AI-generated content, including but not limited to errors, omissions, or harmful content.
Third-party AI providers
AI services are provided by third parties (e.g., OpenAI, Anthropic, Google). Your use of these services is also subject to their respective terms and policies. Uuple is not responsible for the acts or omissions of third-party AI providers.
Fair use and rate limiting
To ensure service stability and fair access for all customers, we implement usage policies and technical limitations.
Rate limits
We may implement rate limits, quotas, or other technical restrictions to prevent abuse and ensure service stability. Current limits are documented in your account dashboard or service documentation.
Excessive use
We reserve the right to suspend, throttle, or terminate accounts that engage in excessive use that unreasonably burdens our infrastructure, causes service degradation, or results in disproportionate costs. We will provide reasonable notice when practicable.
Cost protection
If your usage patterns result in unexpectedly high third-party API costs, we may contact you to discuss appropriate limits or pricing adjustments.
Force majeure
Uuple shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is due to causes beyond our reasonable control.
Third-party service outages
This includes, but is not limited to, outages or failures of third-party AI providers (e.g., OpenAI, Anthropic), cloud hosting providers (e.g., Google Cloud), internet infrastructure, telecommunications networks, or power outages.
Other force majeure events
Other events beyond our control include natural disasters, acts of terrorism, civil unrest, government actions, pandemics, or any other circumstances that make performance impossible or commercially unreasonable.
Mitigation efforts
We will use commercially reasonable efforts to mitigate the effects of force majeure events and resume normal service as soon as practicable.
Acceptable use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You are solely responsible for your use of the Services and any content you process through them.
Prohibited activities

- •Transmitting malware, viruses, or harmful code
- •Attempting to gain unauthorized access to our systems or third-party AI services
- •Using our Services for spam, phishing, or unsolicited communications

- •Sharing your account credentials with unauthorized users
- •Attempting to bypass or circumvent our security measures
- •Using the Services to generate harmful, deceptive, or illegal content
AI usage responsibility
You are responsible for the content you process through our AI gateway and must ensure it complies with applicable laws, regulations, and third-party AI provider terms. You must not input personal data unless you have a lawful basis to do so.
Service description
Uuple provides a secure AI gateway platform that enables businesses to safely use AI tools by filtering sensitive data and enforcing policies.
Secure Gateway
Our platform acts as a secure intermediary between your team and AI tools, filtering sensitive data and enforcing your configured policies.
Policy management
You can configure custom safety policies to control what data can be sent to AI tools. You are responsible for configuring these policies appropriately for your use case.
Service modifications
We reserve the right to modify, suspend, or discontinue any part of our Services with reasonable notice. We will make commercially reasonable efforts to minimize disruption.
Pricing and payment
Our pricing is available on our pricing page. All prices are in EUR unless otherwise stated. Prices exclude VAT unless a valid EU VAT number is provided.
By subscribing to our Services, you agree to pay the fees as described in your selected plan. See our Pricing Policy for detailed terms.
Payment terms:
- •Fees are billed in advance on a monthly basis based on the number of AI seats
- •We may change prices with 30 days' prior written notice
- •You are responsible for all applicable taxes except for taxes on our net income

Intellectual property
Our property
All rights, title, and interest in and to our Services, including software, designs, documentation, and trademarks, remain exclusively with Uuple. Nothing in these Terms grants you any right to use our intellectual property except as expressly authorized.
Your data
You retain all rights, title, and interest to the data you process through our Services. Subject to your compliance with these Terms, we assign to you any rights you may have in output generated from your input data.
Feedback
Any feedback, suggestions, or ideas you provide may be used by us without compensation, attribution, or obligation. You assign to us any intellectual property rights in such feedback.
Confidentiality
Both parties agree to keep confidential any non-public, proprietary information disclosed by the other party ("Confidential Information").
Definition of Confidential Information
Confidential Information includes business plans, customer data, technical information, pricing, product roadmaps, and any information marked as confidential. It excludes information that is publicly known, independently developed, or rightfully received from a third party.
Obligations
Each party will use Confidential Information only for purposes of using or providing the Services and will protect it with at least the same degree of care as it uses for its own confidential information, but no less than reasonable care.
Disclaimer and limitation of liability
Service provided "as is"
Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, Uuple shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or business opportunities. Our total aggregate liability shall not exceed the amount you paid in the 12 months preceding the claim or €500, whichever is greater.
Indemnification
You agree to indemnify, defend, and hold harmless Uuple and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.
Termination and suspension
Either party may terminate this agreement under certain conditions. We reserve the right to suspend access immediately in cases of serious breach.
Termination by you
You may terminate your account at any time through your account settings or by contacting us. Termination is effective at the end of the current billing period.
Termination by us
We may suspend or terminate your access immediately for material violations of these Terms, non-payment, or with 30 days' prior written notice for any other reason.
Effect of termination
Upon termination, your right to use our Services will immediately cease. You must cease all use of the Services and delete any copies of our software. Provisions that should survive termination (including intellectual property, confidentiality, disclaimers, and limitation of liability) will remain in effect.
Dispute resolution
Any disputes arising from these Terms will be handled as follows. Note: These Terms are for business customers only; consumer dispute resolution mechanisms do not apply.
Amicable resolution
We will attempt to resolve disputes through good-faith negotiations. Either party may initiate this process by providing written notice of the dispute.
Governing law and jurisdiction
These Terms are governed by the laws of the Netherlands. Any disputes shall be submitted to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands.
Language
These Terms are written in English. In case of any translated version, the English version shall prevail.
Final provisions
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
Waiver
Failure or delay by Uuple in enforcing any provision of these Terms does not constitute a waiver of that provision or any other provision.
Entire agreement
These Terms, together with our Privacy Policy and Pricing Policy, constitute the entire agreement between you and Uuple regarding the Services and supersede any prior agreements.
Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. Uuple may assign its rights without consent in connection with a merger, acquisition, or sale of assets.
